OVERVIEW

Welcome to Cosmotify! The terms "we", "us" and "our" refer to Cosmotify, a brand of COSMO TRADE LLC. Cosmotify operates this store and website, including all related information, content, features, tools, products and services to provide you with a curated shopping experience (the "Services"). Cosmotify is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the "Terms"), together with the policies referenced herein (including our Privacy Policy, Shipping Policy, and Refund Policy), describe your rights and responsibilities when you use the Services.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence and you consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services (including browsing our store or purchasing products), you may be asked to provide information such as your email address and billing, payment, and shipping details. You represent and warrant that all information you provide is accurate, current and complete and that you have the rights necessary to provide it.

You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 – OUR PRODUCTS

We aim to present our products clearly, but colors and appearance may differ from your screen due to device/settings. We do not warrant that any product's appearance or quality will meet your expectations or precisely match on-screen depictions.

Descriptions and availability may change at any time without notice; we may discontinue products or limit quantities to any person, region, or jurisdiction.

No medical claims. We are a reseller (not a manufacturer). Information provided is not medical advice. Always follow the manufacturer's directions and consider a patch test.

SECTION 3 – ORDERS

When you place an order, you make an offer to purchase. We may accept or decline any order at our discretion. We must receive and process your payment before acceptance. If we decline or cancel an order, we'll attempt to notify you using the contact details provided at checkout.

Your purchases are subject to returns (we do not offer exchanges) in accordance with our Refund Policy.

Fraud & risk screening. If our payment platform flags a purchase as high-risk, we may request additional verification or cancel and refund the order.

You represent that your purchases are for personal/household use, not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions may change without notice. The price charged is the price at the time of order and will appear in your order confirmation email. Unless expressly stated otherwise, posted prices exclude taxes, shipping and handling.

You agree to provide current, complete and accurate purchase, payment and account information and to promptly update such information as needed. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are authorized to use it, (iii) charges will be honored by your payment provider, and (iv) you will pay charges incurred by you at the posted prices, including applicable taxes and shipping.

SECTION 5 – SHIPPING AND DELIVERY

We ship as described in our Shipping Policy (including service areas, cut-off times, estimates, signature-on-delivery upon request at no extra cost, and tracking).

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers or events outside our control.

Risk of loss; exception for unsubstantiated delivery. Once we transfer products to the carrier, title and risk of loss pass to you; however, if the carrier cannot substantiate delivery to your address, we will refund or reship in line with our Refund Policy. If the carrier can substantiate delivery, the order is considered delivered.

Address corrections and undeliverable parcels are handled as described in our Shipping and Refund Policies (recall + cancel + refund, with no extra charge to you).

SECTION 6 – INTELLECTUAL PROPERTY

The Services and all content therein (including trademarks, text, images, graphics, audio/video, and the selection and arrangement thereof) are owned by Cosmotify, its affiliates or licensors and are protected by applicable laws. These Terms permit your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display/perform, republish, download, store or transmit any material without prior written consent, except as allowed by law.

Cosmotify's names, logos, product/service names, designs, and slogans are trademarks of Cosmotify or its affiliates/licensors. You may not use such marks without prior written permission. Shopify's marks belong to Shopify. Other names and logos on the Services are the trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may provide access to tools offered by third parties. We do not monitor or control such tools and provide them "as is" and "as available" without warranties. Your use is at your own risk and subject to the third party's terms.

We may offer new features from time to time; such features are part of the Services and subject to these Terms.

SECTION 8 – THIRD-PARTY LINKS

The Services may contain third-party materials or links. If you access third-party sites or services, you do so at your own risk. We are not responsible for examining or evaluating third-party content or for any damages relating to your access or transactions with third parties. Review the third party's terms and policies carefully.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Cosmotify is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases in our store are made directly with Cosmotify. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Cosmotify, including any injury, damage, or loss resulting from purchased products/services. You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Cosmotify.

SECTION 10 – PRIVACY POLICY

Personal information we collect is subject to our Privacy Policy. Because the Services are hosted by Shopify, certain information about your access and use may be collected/processed by Shopify; see Shopify's privacy policy (including for app users). By using the Services, you acknowledge you've reviewed these policies.

SECTION 11 – FEEDBACK (REVIEWS, SUGGESTIONS)

If you submit ideas, suggestions, reviews, proposals or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback for any purpose. You represent you own/have rights to the Feedback, have disclosed any compensation/incentives, and that your Feedback complies with these Terms and applicable law. We may monitor, edit or remove Feedback we determine to be unlawful or objectionable. You may not misrepresent your identity or provide misleading information. You are solely responsible for your Feedback.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

From time to time there may be information on the Services that contains typographical errors or inaccuracies (including product descriptions, pricing, promotions, shipping charges, transit times, and availability). We reserve the right to correct, change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order). In obvious pricing/availability errors, we may cancel or adjust the order in accordance with these Terms.

SECTION 13 – PROHIBITED USES

You may use the Services for lawful purposes only. Without limitation, you agree not to use the Services: (a) for unlawful or malicious purposes; (b) to violate laws or regulations; (c) to infringe IP rights; (d) to harass, abuse, defame or harm others; (e) to transmit false or misleading information; (f) to upload non-compliant content; (g) to transmit spam/solicitations; (h) to impersonate others; (i) to engage in conduct that restricts or inhibits others' use of the Services or exposes us, Shopify, or users to liability; (j) to upload malware/viruses; (k) to copy/exploit the Services; (l) to collect or track others' personal information unlawfully; (m) to circumvent security features. We may suspend/disable/terminate access for violations.

SECTION 14 – TERMINATION

We may terminate these Terms or your access to the Services (in whole or in part) at any time in our discretion, without notice. You remain liable for amounts due up to and including the date of termination. Sections intended to survive termination shall continue to apply.

SECTION 15 – DISCLAIMER OF WARRANTIES

The Services and all products are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that use of the Services will be uninterrupted, timely, secure, or error-free. Some jurisdictions do not allow certain disclaimers; to the extent prohibited by law, such disclaimers may not apply.

SECTION 16 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSMOTIFY, SHOPIFY, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS/REVENUE/SAVINGS, LOSS OF DATA, REPLACEMENT COSTS), WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Cosmotify, Shopify, and their affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities or claims (including reasonable attorneys' fees) arising from your breach of these Terms, violation of law or third-party rights, or your use of the Services. We will notify you of any indemnifiable claim; failure to promptly notify does not relieve your obligations unless materially prejudicial. We may control the defense and settlement at your expense; no settlement requiring non-monetary obligations will be entered without your consent (not unreasonably withheld). You agree to cooperate in the defense.

SECTION 18 – SEVERABILITY

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the unenforceable portion shall be severed, without affecting the validity/enforceability of remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision is not a waiver. These Terms, together with policies posted on the site (including the Privacy, Shipping, and Refund Policies), constitute the entire agreement between you and us regarding the Services and supersede prior agreements or communications.

SECTION 20 – ASSIGNMENT

You may not delegate, transfer or assign these Terms or your rights/obligations without our prior written consent; any attempted assignment is void. We may assign or delegate these Terms without notice.

SECTION 21 – GOVERNING LAW; DISPUTE RESOLUTION (ARBITRATION)

Governing Law. These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law rules. The U.S. Federal Arbitration Act ("FAA") governs the interpretation and enforcement of the Arbitration Agreement below.

Arbitration Agreement (individual). Except for the Small Claims and Injunctive Relief exceptions below, any dispute, claim, or controversy arising out of or related to these Terms or the Services shall be resolved by binding individual arbitration, administered by a reputable arbitration provider (e.g., AAA or JAMS) under its applicable rules. Arbitration is more informal than a lawsuit; there is no judge or jury, and court review is limited. The arbitrator's decision shall be final and binding.

Class Action & Jury Trial Waiver. YOU AND COSMOTIFY WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS ARE NOT PERMITTED.

Opt-Out. You may opt out of this Arbitration Agreement within 30 days of the date you first accepted these Terms (or your first purchase date, whichever is earlier) by emailing hi@cosmotify.com with subject line "Arbitration Opt-Out" and including your name, billing address, and order number. Your opt-out will not affect other parts of these Terms.

Small Claims Court. Either party may bring an individual action in small claims court in Johnson County, Kansas.

Venue for non-arbitrable claims. For claims that are not subject to arbitration (e.g., opt-outs, small claims, or Injunctive Relief below), you and Cosmotify consent to the state courts in Johnson County, Kansas or the U.S. District Court for the District of Kansas.

Injunctive Relief Carve-Out. Either party may seek temporary or preliminary injunctive relief in court to protect its intellectual property or prevent unauthorized access/abuse of the Services, without waiving the right to arbitration.

Fees & Location. Arbitration fees shall be allocated per the applicable rules. Unless you and Cosmotify agree otherwise, arbitration will take place by video/teleconference or in Johnson County, Kansas.

Severability. If any part of this Section 21 is found unenforceable, the remainder shall remain in effect; if the class waiver is found unenforceable, the entire arbitration agreement shall be unenforceable.

Headings are for convenience and do not limit these Terms.

SECTION 23 – CHANGES TO TERMS OF SERVICE

You can review the current version of these Terms at any time on this page. We may update, change, or replace parts of these Terms by posting updates here. We will notify you of any material changes as required by law; such changes take effect on the date specified in the notice. Your continued use of the Services after changes become effective constitutes acceptance.

SECTION 25 – FORCE MAJEURE

We are not liable for delays or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labor disputes, governmental actions, utility or internet outages, or carrier/transportation disruptions. Performance is excused for the duration of such event.

SECTION 26 – ELECTRONIC COMMUNICATIONS

You consent to receive communications from us electronically (e.g., emails about order status, returns, or policy updates). You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirements that such communications be in writing.
